This Vendor Onboarding Policy governs the registration, listing, and sale of products and services by vendors on the Unitybridge Services Pvt Ltd platform.

By registering as a Vendor and using the Platform, you confirm that you have read, understood, and agreed to this Policy and all applicable laws.

1. About the Platform

Unitybridge Services Pvt Ltd is an online marketplace that enables vendors to list, market, and sell products and services to customers. The Platform also provides technology-enabled fintech solutions such as digital payments and settlement facilitation.

Unitybridge Services Pvt Ltd acts only as a technology and facilitation platform and is not a buyer or seller of goods listed by Vendors.

2. Vendor Eligibility

To register as a Vendor:

• You must be 18 years or older
• You must be legally capable of entering into contracts under the Indian Contract Act, 1872
• If registering as a business entity, you must be:
  • Legally registered under applicable laws
  • Authorized to conduct business in India
• The person completing registration must have authority to bind the business entity

Unitybridge Services Pvt Ltd reserves the right to reject or terminate vendor accounts that do not meet eligibility criteria.

3. Vendor Registration & Account Information

Vendors must provide accurate and complete information, including:

• Legal name and business details
• Registered and pickup address
• PAN, GSTIN (if applicable)
• Bank account details for settlements
• Product and pricing information
• Manufacturer / importer / packer details (where required)

You are responsible for keeping your information updated.
Incorrect or misleading information may result in account suspension or termination.

4. Products & Services Listing

Allowed Listings

Vendors may list only products and services that:

• Are legal to sell in India
• Comply with all regulatory requirements
• Match the categories approved by Unitybridge Services Pvt Ltd  

Prohibited Listings

Vendors must not list:

• Illegal, counterfeit, or restricted goods
• Obscene, offensive, or defamatory material
• Products violating intellectual property rights
• Any items prohibited by law or Platform policy

Unitybridge Services Pvt Ltd reserves the right to remove listings without notice.

5. Vendor Responsibilities

Vendors are solely responsible for:

• Product quality, authenticity, and legality
• Pricing, taxes, and invoicing
• Inventory management
• Order fulfillment, shipping, and delivery
• Returns, refunds, and after-sales support
• Compliance with GST, HSN, FSSAI, and other applicable laws

Any mismatch between product description and actual product must be refunded to the customer.

6. Pricing & Inventory

• Vendors control pricing of their products and services
• Prices must include all applicable taxes
• Artificial price inflation or misleading discounts are prohibited
• Inventory must be accurately maintained

Repeated order cancellations due to stock issues may lead to penalties or suspension.

7. Shipping, Returns & Refunds

• Vendors must ship orders within committed timelines
• Products must be securely packaged
• Vendors must honor the Platform’s return and refund policies
• Return shipping costs shall be borne by the Vendor unless stated otherwise

Refunds must be processed using the original payment method.

8. Payments & Settlements

• Payments are facilitated through Unitybridge Services Pvt Ltd digital payment system
• Unitybridge Services Pvt Ltd is not a bank or financial institution
• Platform fees, taxes, and deductions will be applied before settlement
• Settlements will be made as per the agreed payment cycle
• Chargebacks, refunds, or disputes may result in deductions or holds

Unitybridge Services Pvt Ltd may withhold payments in cases of fraud, disputes, or policy violations.

9. Acceptable Use Policy

Vendors must not:

• Engage in fraudulent or illegal activities
• Upload harmful, abusive, or misleading content
• Infringe intellectual property rights
• Attempt to disrupt Platform operations
• Scrape, misuse, or reverse-engineer the Platform
• Manipulate ratings or reviews

Violation may lead to immediate termination.

10. Reviews & Ratings

• Customers may leave public reviews and ratings
• Vendors may not manipulate or interfere with reviews
• Fake or misleading reviews may result in account termination

11. Data Protection & Privacy

• Vendors must comply with applicable data protection laws
• Personal data must be collected and used lawfully
• Sensitive personal data must not be stored on the Platform

12. Suspension & Termination

Unitybridge Services Pvt Ltd may suspend or terminate vendor accounts for:

• Policy violations
• Legal non-compliance
• Fraud or suspicious activity
• Non-payment of dues

Upon termination, certain data may be retained for legal and audit purposes.

13. Intellectual Property

• Platform content and technology belong to Unitybridge Services Pvt Ltd
• Vendors retain ownership of their content
• Vendors grant Unitybridge Services Pvt Ltd a license to use listing content for promotional purposes

14. Limitation of Liability

Unitybridge Services Pvt Ltd is not liable for:

• Vendor–customer disputes
• Product defects or delivery failures
• Losses arising from use of the Platform

Maximum liability, if any, is limited to fees paid by the Vendor in the preceding three months.

15. Governing Law & Dispute Resolution

• This Policy is governed by the laws of India
• Disputes shall be resolved through arbitration in Kolkata, under the Arbitration and Conciliation Act, 1996

16. Acceptance

By clicking “I Agree” during registration, you confirm that:

• You have read and understood this Vendor Onboarding Policy
• You agree to comply with all Platform policies and applicable laws
